IMPORTANT NOTICE: This website contains content related to alcoholic beverages and is intended strictly for individuals who are of legal drinking age as applicable in their state or territory in India. By proceeding past the age verification gate, you confirm that you are of legal drinking age. Our e-commerce store sells only non-alcoholic beverages and premix products. Access to and use of this Platform by persons below the legal drinking age is strictly prohibited.

1. Introduction and Acceptance of Terms

This document is an electronic record within the meaning of the Information Technology Act, 2000 and the rules made thereunder, as applicable. It is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules and regulations, privacy policy, and terms of use for access to or usage of the Platform.

These Terms of Use ("Terms") govern your access to and use of the website at https://ochrespirits.com, our e-commerce store, mobile application (if any), and all related services (collectively, the "Platform") operated by Ochre Spirits Private Limited, a company incorporated under the Companies Act, 2013, having CIN U10799GA2023PTC015881, with its registered office at 2nd Floor, No. 17, 7th Main Road, Indiranagar, Bengaluru, Karnataka 560 038 ("Ochre Spirits," "we," "our," or "us").

By accessing or using the Platform in any manner, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue your use of the Platform. We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice on the Platform or by email. Your continued use of the Platform following any such change constitutes your acceptance of the updated Terms.

2. Eligibility and Age Verification

Access to and use of the Platform is subject to the following eligibility conditions:

You must be of legal drinking age as applicable in your state or territory in India. The legal drinking age varies by state and is typically 18, 21, or 25 years. It is your sole responsibility to ascertain and comply with the legal drinking age applicable in your jurisdiction
You must be a natural person capable of entering into legally binding contracts under the Indian Contract Act, 1872. Persons of unsound mind or those otherwise disqualified from contracting under applicable law are not eligible to use the Platform
If you are accessing the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms

We implement an age verification gate at the point of entry to the Platform. By proceeding past this gate, you represent and warrant that you meet the eligibility requirements set out above. Any misrepresentation of age or eligibility is a violation of these Terms and may constitute an offence under applicable law.

We reserve the right to suspend or terminate your access to the Platform at any time if we have reason to believe that you do not meet the eligibility requirements or have misrepresented your eligibility. Ochre Spirits Private Limited shall not be liable for any consequences arising from misrepresentation of age or eligibility by any user, and the sole responsibility for such misrepresentation shall lie with the individual concerned.

3. Account Registration and Security

Certain features of the Platform, including placing orders through our e-commerce store, require you to register an account. By registering, you agree to:

Provide accurate, current, and complete information at the time of registration and keep it updated at all times
Verify your mobile number and email address through the OTP-based authentication process. You acknowledge that OTPs are time-limited, single-use codes and must not be shared with any third party
Maintain the confidentiality of your account credentials including your username and password
Notify us immediately at yo@ochrespirits.com of any actual or suspected unauthorised access to your account
Accept full responsibility for all activities that occur under your account, whether or not authorised by you

Ochre Spirits Private Limited shall not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials, or from your failure to notify us of unauthorised access in a timely manner. We reserve the right to disable any account at our discretion if we believe these Terms have been violated.

4. E-Commerce Store, Orders, and Payments

Our e-commerce store operates exclusively for the sale of non-alcoholic beverages and premix products. We do not facilitate the online sale of alcoholic beverages through our Platform. All purchases made through our store are subject to the following terms:

4.1 Product Availability

All products listed on the Platform are subject to availability. We reserve the right to limit quantities, discontinue products, or modify product listings at any time without prior notice. Product images and descriptions are for illustrative purposes only and actual products may vary.

4.2 Pricing

All prices displayed on the Platform are in Indian Rupees and are inclusive of applicable taxes unless stated otherwise. We reserve the right to change prices at any time without prior notice. The price applicable to your order will be the price displayed at the time you place your order, subject to verification.

4.3 Order Confirmation

Placing an order on our Platform constitutes an offer to purchase the relevant product. An order is only confirmed upon receipt of a confirmation communication from us. We reserve the right to cancel or refuse any order at our discretion, including where a product is unavailable, where we suspect fraudulent activity, or where an error has occurred in the pricing or description of a product.

4.4 Payment

Payment for orders must be made through the payment methods made available on the Platform. All payment transactions are processed by authorised third-party payment gateway partners. We do not store your card details, net banking credentials, or full UPI information on our servers. By making a payment, you confirm that you are authorised to use the payment method provided. We are not responsible for any errors, delays, or failures in payment processing by third-party payment gateways.

4.5 Delivery

Delivery of orders is subject to serviceable locations and applicable logistics conditions. Estimated delivery timelines are indicative only and may be affected by factors outside our control. Risk in the products passes to you upon delivery. We are not responsible for delays caused by third-party logistics partners, force majeure events, or incorrect delivery information provided by you.

5. Returns, Cancellations, and Refunds

5.1 Non-Alcoholic Products

Returns for non-alcoholic beverages and premix products purchased through our e-commerce store are accepted within seven (7) days of delivery, provided the products are in their original, unopened, and undamaged condition. To initiate a return, please contact us at yo@ochrespirits.com with your order details and reason for return. Refunds, where approved, will be processed to the original payment method within seven (7) to ten (10) working days.

5.2 Damaged or Defective Products

If you receive a product that is damaged, defective, or does not match your order, you must notify us within forty-eight (48) hours of delivery by emailing yo@ochrespirits.com with photographic evidence. We will arrange for a replacement or refund at our discretion, subject to verification.

5.3 Order Cancellations

Orders may be cancelled before they are dispatched. Once dispatched, an order cannot be cancelled. To request a cancellation, please contact us at yo@ochrespirits.com immediately after placing the order. We reserve the right to cancel any order at our discretion and will notify you accordingly.

5.4 Non-Returnable Items

Certain products may be designated as non-returnable at the time of purchase. Such designations will be clearly communicated on the product listing page.

6. User Conduct and Prohibited Activities

By using the Platform, you agree that you will not:

Access or attempt to access the Platform if you are below the legal drinking age applicable in your jurisdiction
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation, including excise laws and regulations governing the sale and consumption of alcohol
Post, upload, transmit, or share any content that is defamatory, obscene, offensive, harassing, hateful, or that encourages illegal activities including underage drinking, bootlegging, or the unlicensed sale of alcohol
Infringe upon or misappropriate the intellectual property rights of Ochre Spirits Private Limited or any third party
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Introduce any virus, malware, spyware, or other harmful code to the Platform
Attempt to gain unauthorised access to any part of the Platform, our servers, or any systems connected to the Platform
Use automated tools, bots, scrapers, or similar technologies to access or collect data from the Platform without our express written consent
Use the Platform in any manner that could damage, disable, overburden, or impair our servers or networks
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or its content without our express written authorisation

We reserve the right to remove any content that violates these Terms and to suspend or terminate the accounts of users who engage in prohibited activities, without prior notice and without liability.

7. Alcohol-Related Content and Regulatory Compliance

Our Platform contains information, imagery, and content related to alcoholic beverages manufactured and distributed by Ochre Spirits Private Limited. This content is provided for informational and brand purposes only and does not constitute an offer to sell alcohol online.

Ochre Spirits Private Limited operates in strict compliance with the Indian Excise Act, applicable state excise laws, and all other regulations governing the manufacture, distribution, and promotion of alcoholic beverages. The availability of our products and services, including physical outlet access, tasting events, and hospitality services, may vary based on state-specific laws, dry day schedules, and applicable licensing conditions.

By accessing this Platform, you acknowledge that:

You are aware of and will comply with the laws applicable to the consumption of alcohol in your jurisdiction
You will not access or use any content on this Platform for the purpose of facilitating illegal activities related to alcohol
Ochre Spirits Private Limited is not responsible for your compliance with local laws and regulations in your jurisdiction

We reserve the right to restrict access to the Platform or specific content based on your geographic location where required by applicable law.

8. Physical Outlets, Tasting Rooms, and Hospitality Services

Where Ochre Spirits Private Limited operates physical outlets, tasting rooms, bars, or hospitality establishments, the following terms apply in addition to these Terms:

Entry is subject to proof of legal drinking age. We reserve the right to refuse entry to any person who cannot provide satisfactory age verification or who is visibly intoxicated
Reservations made through the Platform do not guarantee immediate entry if the venue is at capacity or if the guest does not meet applicable entry requirements including age, dress code, or other conditions communicated at the time of booking
We reserve the right to charge a cancellation or no-show fee for reservations at high-demand events or special tasting sessions. Such fees will be communicated at the time of booking
We promote responsible consumption of alcohol. We reserve the right to refuse service to any person who appears to be intoxicated or whose behaviour poses a risk to themselves or others
Quantity limits may be imposed on purchases at our physical outlets in compliance with applicable excise laws and to promote responsible consumption

9. Intellectual Property

All content on the Platform, including but not limited to the Ochre Spirits name and logo, product names, bottle designs, packaging artwork, website layout, graphics, text, photographs, videos, and marketing copy, is the exclusive intellectual property of Ochre Spirits Private Limited or its licensors and is protected by applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes only. This licence does not include the right to:

Reproduce, copy, distribute, or publicly display any content from the Platform for commercial purposes
Modify, adapt, translate, or create derivative works based on any content from the Platform
Use any of our trademarks, logos, or brand elements without our prior written consent
Scrape, harvest, or systematically extract data or content from the Platform

Any unauthorised use of our intellectual property is a violation of these Terms and applicable law and may result in legal action. If you believe that content on the Platform infringes your intellectual property rights, please notify us at yo@ochrespirits.com with full details of the alleged infringement.

10. Disclaimer of Warranties

The Platform and all content, products, and services available through it are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free access.

We do not warrant that:

The Platform will be available at all times or will be free from errors, bugs, or interruptions
Any defects in the Platform will be corrected
The Platform or any content on it is free from viruses or other harmful components
The information on the Platform is complete, accurate, or current

We make no representations regarding the suitability of any product for any particular purpose. Product descriptions, tasting notes, and recommendations on the Platform are provided in good faith but do not constitute a guarantee of product quality or fitness.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Ochre Spirits Private Limited, its directors, officers, employees, agents, and affiliates shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Platform or any products or services obtained through the Platform
Any damages arising from unauthorised access to your account resulting from your failure to maintain the confidentiality of your credentials
Any damages arising from your reliance on information, content, or products available on the Platform
Any damages arising from third-party actions including payment gateway failures, logistics delays, or cyberattacks
Any consequences arising from misrepresentation of age or eligibility by you or any other user

In any event, our total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the Platform shall not exceed the amount paid by you for the specific product or service giving rise to the claim in the three (3) months preceding the claim.

Nothing in these Terms limits our liability for fraud, wilful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

Any claim regarding a product defect must be reported to us within forty-eight (48) hours of purchase or delivery. Claims made after this period may not be entertained.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ochre Spirits Private Limited and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or access to the Platform
Your violation of these Terms or any applicable law or regulation
Your misrepresentation of age or eligibility
Any content you submit, post, or transmit through the Platform
Your infringement of the intellectual property or other rights of any third party

13. Third-Party Links and Services

The Platform may contain links to third-party websites, social media platforms, payment gateways, or other external services. These links are provided for convenience only and do not constitute an endorsement by Ochre Spirits Private Limited of the linked site or its content, products, or services.

We have no control over and accept no responsibility for the content, privacy practices, or terms of any third-party website or service. Your use of third-party websites is at your own risk and subject to the terms and privacy policies of those websites. We encourage you to review those policies before providing any personal data to third-party sites.

14. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your access to the Platform at any time, with or without prior notice, if we reasonably believe that:

You have violated these Terms or any applicable law or regulation
You have misrepresented your age, identity, or eligibility
You have engaged in fraudulent, abusive, or harmful conduct
Your account has been compromised or is being used for unauthorised purposes
Termination is required by applicable law or a regulatory authority

Termination of your access does not affect any rights or liabilities that have accrued prior to termination. Clauses that by their nature should survive termination, including Sections 9, 11, 12, and 15, shall continue in full force and effect after termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at yo@ochrespirits.com. We will endeavour to resolve the dispute within thirty (30) days of receiving your communication.

16. Force Majeure

Ochre Spirits Private Limited shall not be liable for any failure or delay in the performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, strikes, power failures, internet outages, or cyberattacks of an unprecedented nature. In such circumstances, our obligations will be suspended for the duration of the force majeure event.

17. Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms or to exercise any right under these Terms shall not constitute a waiver of that provision or right. Any waiver must be in writing and signed by an authorised representative of Ochre Spirits Private Limited to be effective.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines published on the Platform from time to time, constitute the entire agreement between you and Ochre Spirits Private Limited with respect to your use of the Platform and supersede all prior agreements, understandings, and representations, whether oral or written, relating to the same subject matter.
